FORMAT OF BANK GUARANTEE    To  Union Bank of India  5thfloor , Technology Centre, Union Bank of India  AdiShankaracharyaMarg, Opp. Powai Lake,   Powai, Andheri(East)  Mumbai‐400072    Dear Sirs,  In  response  to  your  invitation  to  respond  to  your  RFP  for  implementation  of  Collection  and  Payment  Solutions  ,  M/s  _____________________________  having  their  registered  office  at  _________________________________  (hereinafter  called  the  ‘Bidder’)  wish  to  respond  to  the  said  Request  for  Proposal  (RFP)  for  self  and  submit  the  proposal  for  Implementation  of  Collection  and  Payment Solutions as per terms and conditions listed in the RFP document.    Whereas  the  ‘Bidder’  has  submitted  the  proposal  in  response  to  RFP,  we,  the  ___________________Bank having our head office ________________ hereby irrevocably guarantee an  amount of Rs.______ /‐ (Rupees ) as earnest money deposit as required to be submitted by the ‘Bidder’  as a condition for participation in the said process of RFP.    The earnest money deposit for which this guarantee is given is liable to be enforced/ invoked:  1) If the Bidder withdraws his proposal during the period of the proposal validity; or  2) If  the  Bidder,  having  been  notified  of  the  acceptance  of  its  proposal  by  the  Union  Bank  of  India  during  the  period  of  the  validity  of  the  proposal  fails  or  refuses  to  enter  into  the  contract  in  accordance with the Terms and Conditions of the RFP or the terms and conditions mutually agreed  subsequently.      We  undertake  to  pay  immediately  on  a  written  demand  to  Union  Bank  of  India,  the  said  amount  of  Rupees  _________/‐only  without  any  reservation,  protest,  demur,  or  recourse.  The  said  guarantee  is  liable to be invoked/ enforced on the happening of the contingencies as mentioned above and we shall  pay the amount on any Demand made by Union Bank of India which shall be conclusive and binding on  us irrespective of any dispute or difference raised by the Bidder.              1

14.3- Price Composition

The prices should be inclusive of all costs including taxes, duties, levies etc to be charged. During the offer validity and subsequent contract period, the vendor will absorb any upward revision of prices, custom, taxes (excluding service tax), Govt. duties and pass on the benefit to Bank in case of downward revision of Govt. taxes, levies, etc

Vendor will include the service tax and VAT for the application software as per the existing government tax structure. Vendor shall allow third party audit of the system.

The application provided to tha bank is Vendor IPR. Hence vendor would not like to permit any third party audit by the bank. However, vendor would like to understand bank's need for separate Audit.

Bank will conduct the audit of the solution implemented at onsite as per requirement and frequency decided by the bank. Bank will give the prior notice in the form of email. Bank will borne the cost of such Audit. The vendor has to comply the audit obseration without any additional cost.

Clause 41.4

Any gaps identified during product demonstration, functional requirements specifications study, system testing, user acceptance testing, and pilot implementation should be included by the Successful bidder as Implementation efforts. The Bank will not pay the Successful bidder any additional charges for all such customizations. The Successful bidder shall take up all such functionality as required by the Bank on a priority basis.

Clause 41.5

The Successful bidder shall provide all tools, testing instruments, drivers, consumables, etc. required to install and customize and test the software free of any fees or charges or any expenses. The Successful bidder shall document and submit to the Bank all the testing activities, Kindly note Vendor will not be procedures and results. If the bank desires to upgrade to higher version of database or hardware, selected vendor shall be required to comply with banks requirement.

The proposed solution should support the database and hardware version which are supported by OEM. Bank will take care of hardware and database upgradation activity. Vendor has to ensure that the application should be compatible with hardware and database etc. without any additional cost.

Vendor will provide and deliver the customizations as per the stated responses in the RFP response. Any additional customization required beyond what has been committed by Vendor in the RFP response will be chargable extra.

Vendor shall be willing to provide the support. However, there will be extra charge for the same.
