How the ORX Big 10 Works 1. Up to 100 VIP administrators and managers from the country’s highest-volume ASCs and hospitals will be seated at private tables. 2. Sponsor packages include one block of 25 five-minute meetings. Additional blocks can be purchased at $1,200 per block. 3. Sponsors must have one rep for each block of 25 meetings. Sponsors can add a 2nd rep (see #9) to a block, but 2 reps per block is the limit. 4. Sponsors will have 5 minutes to make introductions, present their products/services and provide pamphlets, brochures or other takeaway collateral pieces to VIPs. Sponsors must be able to easily carry their products/takeaways—no carts or hand trucks permitted. 5. All meetings are scheduled for a specific VIP and specific rep at a specific time. Each VIP will be seated at a private table. Reps and VIPs will be provided with minute-by-minute schedules. 6. Only ORX conference sponsors may purchase blocks to participate in the ORX Big 10. Sponsorship packages start at just $5,900 and include the first block of meetings. 7. Participating vendors must provide the name and mobile # of each rep participating at least one week prior to the event. Reps must check in at the ORX desk by 7:00 PM the evening prior to the event. 8. Reps may or may not be able to gain access to their tradeshow booths and materials prior to the ORX Big 10 event, so any materials needed for the ORX Big 10 meeting should be sent separately from the tradeshow materials or carried by reps. 9. Special options: • 2 persons can be assigned to handle a single block of ORX Big 10 meetings as a team. This option is an additional $150 per shared meeting block. We highly recommend this option! • You may opt for 12 meetings 11 minutes in length rather than 25 meetings 5 minutes in length at no extra charge.

TERMS AND CONDITIONS • Representatives: One company representative (2 for sponsors) may attend for each 8’x10’ booth space purchased. Additional representatives are $75 each to cover meal costs. Representatives participating in ORX Big 10 must register at the ORX Big 10 desk on Oct. 10th between 2:00 and 7:00 PM. • Reservations: Exhibit space, sponsorships and ORX Big 10 meeting blocks are not reserved until payment is received. • Cancellation: All cancellations must be submitted to OR Excellence in writing by the applicable dates. Exhibitors who cancel their participation more than 5 months before the first day of ORX (May 11 for 2017), will be refunded the amount paid for exhibit space and ORX Big 10 meeting blocks minus a $250 administration fee. Exhibitors have the option of paying no administration fee by leaving their exhibit space and ORX Big 10 meeting block funds on account towards their participation the following year. Sponsorships are non-refundable and cannot be carried over to the following year. Exhibitors who cancel their participation less than 5 months, but more than 2 months before the first day of ORX (Aug 11 for 2017) will be refunded the amount paid for exhibit space minus a $500 administration fee. These exhibitors have the option paying a reduced administration fee of $250 by leaving their exhibit space funds on account towards their participation the following year. Exhibitor/Sponsor Guidelines 1. RELOCATION OF EXHIBITS Herrin Publishing Partners, LP, herein referred to as OR Excellence or ORX reserves the right to change location of exhibits in the best interest of the Conference. 2. BOOTH SELECTION Exhibitors will be given priority in choosing their booth space based on a points system determined by ORX. ORX, at its sole discretion, may assign and/or reassign booths as needed. 3. PRODUCT AND SERVICE EXHIBITS OUTSIDE OF ORX CONFERENCE JURISDICTION Products and Services applicable to ORX Conference must be exhibited in the Exhibit Area. 4. BOOTH SET UP AND SPACE RESTRICTIONS Exhibit booths are 8’ x 10’ and will be draped with the show’s preferred color. The side rails are 8’ deep and the back wall is 10’ wide. Booths may not exceed 8’ in height without specific exemption by ORX. The exhibitor must contain all products or services within the defined booth(s) reserved by the exhibiting company and not obstruct the general view or hide other exhibits. Signs, rails, etc. will not be permitted to intrude into or over aisles. Circulars, publications, advertising matter and all promotions may be distributed within booth spaces only. Please be courteous to your neighbors! 5. INSTALLATION AND DISMANTLING The exhibit space will be available for installation by the exhibitors as listed in the ORX Conference show kit to be sent to company after application and payment are received. It is the duty and responsibility of each exhibitor to have exhibits completely installed in the assigned booth before the opening of the exhibition and dismantled and removed after the close of the exhibition. Exhibits cannot be dismantled before the conclusion of the exhibit hours. If an exhibitor uses an outside contractor to set and dismantle its exhibit, the exhibitor must notify the ORX Conference Director with proof of liability insurance and a list of names of all display company representatives working in the exhibit area prior to the conference. Persons or companies which are not exhibiting are prohibited from any dealing, exhibiting, or soliciting within the exhibit area. 6. NOISE Sound producing or amplifying devices which project sound beyond the exhibitor’s booth, or excessive operating noise that distracts neighboring exhibits, are expressly prohibited. ORX reserves the right to restrict exhibits which, because of noise or any other reason, detract from the general character of the exhibit. 7. RESTRICTIONS Suggestive Material: ORX reserves the right to limit or cancel exhibit space if such space is used to display material of any nature that is suggestive or generally not in the best interest of the ORX Conference. Contest, Drawing and or Lotteries: Exhibitors shall not, without special permission from ORX, conduct contests, drawings or lotteries at their booths. Protection of Exhibit Hall: Nothing should be posted on, tacked, mailed or screwed, or otherwise attached to columns, walls, floors or other parts of the building or furniture. Exhibitors are liable for any damage they cause to the exhibit hall property.

officers, separately or collectively, cannot accept responsibility for any damage to or for the loss or destruction of an exhibit, or for the property of an exhibitor, his agents or employees either from fire, theft or accidents or other causes, or injury to his person resulting from any cause, all claims for any such loss, damage or injury being expressly waived by the exhibitor. 9. LIABILITY AND INSURANCE Neither ORX, its officers, staff members, nor the owners, employees or representatives of the hosting hotel will be responsible for any injury, loss or damage that may occur to the exhibit or to the exhibitor’s employees or property, prior, during, or subsequent to the period covered by the exhibit contract. The exhibitor in signing this contract expressly releases the foregoing corporations, individuals and firms from, and agrees to indemnify and hold harmless same against any and all claims for such loss, damage or injury. 10. FIRE, SAFETY AND HEALTH The exhibitor assumes all responsibility for compliance with local, city and state ordinances and regulations covering fire, safety, and health, to include the guidelines from the Americans With Disabilities Act (ADA). 11. EXHIBIT HALL ENTRANCE ORX shall have sole control over the exhibit hall admission policies at all times. All conference attendees and exhibitor personnel shall be required to register and wear an appropriate badge while in attendance. 12. AMENDMENT TO RULES AND REGULATIONS These Rules and Regulations may be amended at any time by ORX and all amendments so made shall be binding on the exhibitors equally with the foregoing Rules and Regulations. Any and all matters, or questions, not specifically covered by the preceding Rules and Regulations shall be subject solely to the decision of ORX. 13. FAILURE TO HOLD CONFERENCE Should any contingency, to include any act of God, prevent holding of the Conference, ORX may retain such part of exhibitor’s rental cost as shall be required to recompense for expenses incurred up to the time such contingency shall have occurred. Exhibitors waive all claims for damages or recovery of payments made except the return of the prorated amount paid for exhibit space less expenses incurred by ORX. 14. CHANGES ORX reserves the right to make changes to the exhibit hours and booth locations as needed. 15. EXHIBIT BOOTH ASSIGNMENTS Exhibit space assignments will begin according to date application and payment is received and under a point system designed and implemented by ORX. A confirmation letter indicating booth number will be sent once assigned. Booth assignments will be made in keeping with exhibitor’s request whenever possible. ORX reserves the right to make the final determination of all assignments. 16. RIGHT OF REFUSAL ORX reserves the right to restrict or refuse exhibiting companies which may be objectionable or otherwise detract from the exposition as a whole. ORX may prohibit installation or request removal or discontinuance of any exhibit or promotion which departs substantially from the design and description given advance approval.

8. SECURITY FOR EXHIBIT HALL ORX does not provide security service during open and closed exhibit hall hours and depends on the hosting hotel for security. ORX and its 11
