MARVEL STUDIOS THOR: RAGNAROK SUPERPOWER OF STEM CHALLENGE OFFICIAL RULES NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN, NOR WILL A PURCHASE IMPROVE YOUR CHANCES OF WINNING. ENTRANTS UNDER THE AGE OF 18 MUST HAVE PERMISSION FROM THEIR PARENT OR LEGAL GUARDIAN IN ORDER TO ENTER. SPONSOR: Walt Disney Studios Motion Pictures, 500 South Buena Vista St., Burbank, CA 91521-3648. ELIGIBILITY: Open only to girls ages 15 - 18 years old, in grades 10 - 12, as of September 23, 2017 and who are legal residents physically living in the 50 United States or D.C. (“Territory”). MARVEL STUDIOS THOR: RAGNAROK SUPERPOWER OF STEM CHALLENGE (the “Contest”) is not open to employees of Sponsor, MARVEL, MARVEL STUDIOS, Broadcom Masters, Synchrony Bank. Dolby Laboratories, American Association for the Advancement of Science or Society for Science and the Public or any of their respective parent, related or affiliated companies, nor members of their households or immediate families. “Household members” shall mean people who share the same residence at least three months a year. "Immediate family members” shall mean parents, step-parents, children, step-children, siblings, stepsiblings, or spouses. Void where prohibited or restricted by law and subject to all applicable federal, state, local and municipal laws and regulations. ENTRY: The official application (“Application Form”) for the Contest will be available commencing on or about 4:00 AM Pacific Time on August 23, 2017, and ending at 6:00 PM Pacific Time on September 23, 2017 (collectively, “Entry Period”). You may enter this Contest at http://www.marvelstudiosstemchallenge.com during the Entry Period by: (a) completing and submitting the Application Form (you will receive an acceptance e-mail with further instructions if your Application Form is complete and you meet the eligibility requirements); (b) designing and completing an original DoIt-Yourself project or using an original Do-It-Yourself project you have previously developed for a class, science competition, or just for fun, that you feel could help your family, community, or the world be safer, healthier, or happier; and (c) uploading a video (“Video”) demonstrating and describing your Do-It-Yourself Science, Technology, Engineering, or Mathematics (“STEM”) project. Your Application Form and your Video are collectively referred to as your “Entry”. Your Video may be no longer than seven (7) minutes in length. If a Video exceeds seven (7) minutes in duration, only the first seven (7) minutes of the Video will be considered. Your Video must be in one of the following formats: .mp4, .flv, .mov, .avi, or .wmv, and must be no larger than 275 MB (Under 100 MB recommended). Incomplete Entries that do not meet the requirements/specifications outlined in these official rules (“Rules”) cannot be considered for the Contest. Partial Entries (for example, only submitting the Application Form but no Video, or vice-versa) may be disqualified. The project you create and present in the Video can have a practical use (robot, app, design plan, etc.) or it can be something that is just plain fun and that could bring joy to others. You may create a new project or may submit a project that had previously been developed for a class, for a science competition, or just for fun. STEM must be used in the creation of your project. You must be able to instruct other students in how

to complete your project. Your project must be replicable by other students with your instruction. Your video must show you demonstrating and explaining how your project may benefit others. You may use a smartphone, computer, tablet, or camera to make your Video. Please make sure we can see and hear you and whatever you are describing/demonstrating clearly. Please make sure you have adequate lighting. WHAT THE VIDEO MUST INCLUDE: • Your first name (and only your first name). • A demonstration of your project in an instructional format to show others how to recreate your project. • An explanation of how you used STEM to develop and create your project. • An explanation of how your project could help your family, community, or the world to be safer, healthier, or happier. If the Video does not feature the entrant, their working project and answers to all of the questions listed above, it will be disqualified. Videos must be titled as follows: LAST NAME_FIRST NAME_CHALLENGE (e.g., DOE_JANE_CHALLENGE) Videos must also comply with the following: • You must appear in the video and should be the only person who appears in the Video. • Please only include your first name in the Video. Videos that include last names, physical addresses, high school names, or any other identifying information will be immediately disqualified from further consideration. • The “script” (wording and presentation) must be original. • If Video is taken by a third party, you must have secured all rights and clearances to the Video from the third party. • Video cannot contain any music or any identifiable background images (posters, logo shirts, objects with brand names, or identifiable brand products, etc.) • Materials used in the project should have their brand names obscured in the video. • Video cannot contain materials embodying copyrighted images, names, likenesses, photographs or other indicia identifying any person, living or dead, without permission. • Video cannot defame, misrepresent or contain disparaging remarks about people or companies. • Video cannot be obscene or offensive, endorse any form of hate or hate group or be derogatory to any ethnic, racial, gender, religious, professional or age group. • Video cannot communicate messages or images inconsistent with the positive images and/or goodwill to which Sponsor wishes to associate. • Video cannot depict illegal activity and cannot itself be in violation of any law. • Video may not include images of a known celebrity, famous or well-known person or any image which violates the right of privacy or publicity of any person. • Video may not be longer than seven (7) minutes in length. By submitting an Entry, you warrant and represent that: (a) your Video does not infringe upon the copyrights, trademarks, rights of privacy, publicity or other intellectual property or other legal or moral

rights of any person or entity; (b) you own all rights to the Video, including without limitation, copyrights, and if applicable, have received prior written permission from a third party if the Video was recorded or composed by someone other than you; (c) publication of the Entry via various media will not infringe on any third-party rights; and (d) you will indemnify and hold harmless the Sponsor and the Releasees (as defined below) and related entities, agents and assigns from any claims and damages (including reasonable attorneys' fees) arising from or relating to the breach or alleged breach of your representations and warranties herein, the Entry, or your conduct in creating the Entry, the acceptance or use of any prize or otherwise in connection with this Contest. By submitting an Entry, you warrant and represent that you and any other persons who participated in the creation of the Entry consent to the submission and the use of the Entry. Entries made in any manner inconsistent with these Rules will be declared invalid and disqualified from this Contest. LIMITATIONS: Sponsor must receive all Entries by 6:00PM Pacific Time on September 23, 2017. Only one Entry per person. In the event of a dispute as to the identity of the person submitting an Entry, the Entry will be declared made by the authorized account holder of the email address associated with the Entry. For purposes of these Rules, "Authorized Account Holder" is defined as the natural person who is assigned to an email address by an internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address. Entries by any method other than set forth above are void. Any use of automated or programmed methods of effecting Entry is prohibited. Neither Sponsor, MARVEL STUDIOS, American Association for the Advancement of Science, Broadcom Masters, Dolby Laboratories, Synchrony Bank, Society for Science and the Public, or any of their respective parent, related or affiliated companies (“Releasees”) are responsible for Entries from persons residing outside the Territory, or Entries that are altered, destroyed, forged, fraudulent, illegible, inaccurate, incomplete, late, lost, multiple, mutilated, stolen, tampered with, unauthorized or unintelligible; or for other errors of any kind, whether due to electronic, mechanical or human error or other causes, even if caused by the negligence of any of the Releasees. Each of such potential Entries will be disqualified. PROCEDURES: The Entries will be judged by Sponsor or a panel of independent judges appointed by the Sponsor (the “Judges”), on or about September 27, 2017. The Judges will use the criteria set forth below to determine the five finalists (“Finalist(s)”) and two (2) alternates (“Alternate(s)”): FINALIST JUDGING CRITERIA: Originality of project (25%) Project’s potential to be used for the good of others (25%) Teachability and replication potential of project (25%) Quality of presentation (15%) STEM skills used (10%) Provided that Sponsor receives a sufficient number of eligible Entries, the five (5) Entries that receive the highest Judges’ scores will be deemed potential Finalists and they will each be awarded one Finalist Prize (as defined below). The two (2) Entries that received the next highest Judges’ scores will be deemed potential Alternates. In the event of a tie, the Entry with the highest score in the “Originality of project” criterion will be deemed a potential Finalist. If additional tie-breakers are still needed, the Entry with the highest score in the “Project’s potential to be used for the good of others” criterion will be deemed a potential Finalist. The Finalists and Alternates will be notified on or about September 28, 2017.

FINALIST PRIZES: The finalist prize (“Finalist Prize”) consists of the following: • Round trip coach airfare for Finalist and Finalist’s parent or legal guardian (“Parent”) between the major United States airport closest to the Finalist's residence (as determined by Sponsor) and an airport in Southern California (determined by Sponsor), departing on or about October 9, 2017 and returning on or about October 13, 2017 (the “Finalist Trip”); provided however, if Finalist resides within 200 miles of Los Angeles, California, ground transportation will be provided in lieu of air transportation. Travel dates are approximate and subject to change; • One standard double-occupancy hotel room for the duration of the Trip at a hotel or hotels in the Los Angeles area, as determined by Sponsor in its sole discretion; • Scheduled meals; • Ground transportation to and from organized activities during Trip; • Two tickets to attend the red carpet event and premiere of MARVEL STUDIOS THOR: RAGNAROK in Hollywood, CA. (“Movie Premiere”); • A tour of the Walt Disney Studios in Burbank, CA; and • If a Finalist Prize is awarded to a non-resident of California, it will also include an estimated cash amount of US$140.00, which cash amount will be withheld to defray Finalist’s payment of taxes due as a result of winning the Finalist Prize. Finalists will present and demonstrate their projects, in person in Los Angeles, California, to a panel of independent judges appointed by the Sponsor (the “Judges”). The Judges will use the criteria set forth under Grand Prize Winner Judging Criteria to select the Grand Prize Winner. GRAND PRIZE WINNER JUDGING CRITERIA: Quality of presentation (30%) Project’s potential to be used for the good of others (25%) Teachability and replication potential of project (25%) Quality of project (20%) In the event of a tie, the Finalists with the highest score in the “Teachability and replication potential of project” criterion will be deemed the Grand Prize Winner. If additional tie breakers are still needed, the entrant with the highest score in the “Project’s potential to be used for the good of others” criterion will be deemed the Grand Prize Winner. The decisions of the Judges shall be final. GRAND PRIZE: The grand prize (“Grand Prize”) will consist of: • An immersive three-day mentorship in New York City with Disney Imagineering during which the Grand Prize Winner will be assisted in upgrading and creating a more professional form of her Video, learn methods by which she may enhance the instructional nature and presentation quality of her Video and teach others how to duplicate her winning project (the “Mentorship”).

Mentorship must occur on same Grand Prize Trip with the appearance on Good Morning America and will be arranged at a time and date as mutually agreed upon by Sponsor, Disney Imagineering, and the Grand Prize Winner and their Parent and must be completed by November 2, 2017. •

A brief appearance on Good Morning America to demonstrate the Grand Prize Winner’s superpower of STEM project. Appearance on Good Morning America must occur on the same Grand Prize Trip with the mentorship and will be arranged at a time and date mutually agreed upon by Sponsor, Good Morning America and the Grand Prize Winner and their Parent and be completed by November 2, 2017.



The video created during Grand Prize Winner’s mentorship will be made publicly available on the American Association for the Advancement of Science (AAAS) education resource website ScienceNetLinks.com.



Round trip coach airfare for Grand Prize Winner and their Parent between the major United States airport closest to the Grand Prize Winner's residence (as determined by Sponsor) and an airport in New York or New Jersey (determined by Sponsor) (the “Grand Prize Trip”) will be provided. However, if Grand Prize Winner resides within 200 miles of New York, New York, ground transportation will be provided in lieu of air transportation. Grand Prize Trip must commence no later than October 30, 2017.



One standard double-occupancy hotel room for the duration of the Mentorship at a hotel or hotels in the New York area, as determined by Sponsor in its sole discretion;



Scheduled meals;



Ground transportation to and from organized activities during Mentorship; and



If this Grand Prize is awarded to a non-resident of California, it will also include an estimated cash amount of US$283.50, which cash amount will be withheld to defray Grand Prize Winner’s payment of taxes due as a result of winning this Grand Prize.









Finalist Prize and Grand Prize will be collectively referred to as “Prize(s)”. Finalists and Grand Prize Winner will be collectively referred to as “Winner(s)”. Finalist Trip and Grand Prize Trip shall collectively be referred to as the “Trip(s)”. Approximate retail value (“ARV”) of each Finalist Prize is $2,000.00 (if Winner is a resident of California) or $2,140.00 (if Winner is not a resident of California). ARV of Grand Prize is $4,050.00 (if Winner is a resident of California) or $4,333.50 (if Winner is not a resident of California). The total ARV of all Prizes being awarded is $15,033.50. Walt Disney Studios tour, Mentorship and Good Morning America appearance portions of the Prizes have no retail value. All ARV’s will vary depending upon point of departure and seasonal fluctuation of hotel rates and airfares. Any difference between stated ARV and actual value of any Prize will not be awarded. All expenses not specifically mentioned in this section are not included and are solely the Winner’s (or their Parent if Winner is a minor as determined by the state of residence) responsibility, including but not limited to: round-trip transportation between Winner’s residence and the

airport of origin, food and beverages not included in the Prizes, excess luggage fees, gratuities, insurance for travel protection, laundry service, merchandise, parking, room service, service charges, souvenirs, other optional activities, additional taxes which are not included in the Prizes and telephone calls. No additional layovers, extensions or modifications are included. Itineraries and departure dates may be changed, cancelled or discontinued at any time and without prior notice and all travel is subject to change without notice. Airline carrier and hotel regulations and conditions apply. Travel and lodging are subject to availability, certain restrictions, blackout dates and Sponsor’s selection. Prizes are not redeemable for cash or transferable. No substitutions are allowed, except at Sponsor’s sole discretion. Prize elements may not be separated. All Prizes will be awarded, provided a sufficient number of eligible Entries are received. In the event the Winner is able to participate in the Trip, but any scheduled activity does not or cannot take place as scheduled or at all, for reasons, including but not limited to, scheduling conflicts, cancellations, postponement, location changes, an event of force majeure or for any other reason, then Sponsor reserves the right to award the remainder of the Prize with no further obligation to the Winner. In the event the Grand Prize Winner is unable to participate in the Mentorship prior to November 2, 2017, then Sponsor reserves the right to cancel the Mentorship with no further obligation to the Winner. WINNERS: Sponsor will notify the potential Winners and Alternates by e-mail and telephone, on or about September 28, 2017. All potential Winners and Alternates (or their Parent if they are a minor as determined by the state of residence) will be required to sign, have notarized, and return, an Affidavit of Eligibility/Liability/Publicity Release (“Affidavit”) and complete any applicable tax forms. Travel companions of Winners will also be required to sign a Travel Companion Liability Release (“Companion Form”). AN ENTRANT IS NOT A WINNER OF ANY PRIZE, EVEN IF THE CONTEST SHOULD SO INDICATE, UNLESS AND UNTIL ENTRANT’S ELIGIBILITY HAS BEEN VERIFIED AND ENTRANT HAS BEEN NOTIFIED THAT VERIFICATION IS COMPLETE. All legal responsibilities of a minor under these Rules will be assumed by their Parent. At the sole discretion of the Sponsor, disqualification, forfeiture and the selection of an Alternate may result from any of the following: [a] potential Winner’s failure to respond within 48 hours after Sponsor’s initial notification; [b] the return of any notification as undeliverable; [c] potential Winner’s failure to provide Sponsor with satisfactory proof of eligibility; [d] potential Winner’s failure to execute and return a signed and notarized Affidavit and/or Companion Form and any applicable tax forms by October 1, 2017; [e] potential Winner’s failure to be available to participate in the Trip beginning on or about October 9, 2017 and returning on or about October 13, 2017 (Travel dates are subject to change.); and [f] any other non-compliance with these Rules. In the event of a Prize forfeiture, the Sponsor may, in its sole discretion, award or not award the forfeited Prize to an Alternate. A minor may not participate in a Prize unless accompanied by his/her Parent, and the Winner and his/her Parent must travel on the same itinerary. Winner must be accompanied by his/her Parent at all times during all elements of the Prize. In the event a Winner and/or his/her Parent engages in behavior that, as determined by Sponsor, in its sole discretion, is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Sponsor reserves the right to terminate any portion or the entire Prize early, in whole or in part, and send the Winner and/or his/her Parent home with no further compensation. Theatre and seating assignments at the Movie Premiere are at Sponsor’s sole discretion. The attendance by any cast member or talent at the Movie Premiere is not guaranteed and shall solely be subject to such cast member’s/talent’s and Sponsor’s discretion and availability. The Sponsor does not guarantee any type of meeting or photo opportunity with any cast member or talent from the movie or any celebrity in attendance at the Movie Premiere prior to, during, or after the Movie Premiere or Trip. All Prize participants are solely responsible for obtaining any and all necessary travel documents (valid photo I.D., etc.) before departure. All taxes (including, without limitation, U.S. federal, state and local taxes

(including, but not limited to income and withholding taxes), sales taxes, VAT, GST) on or connected with the Prize, and the reporting consequences thereof, are solely the responsibility of the Winner. Winner may be required to remit to Sponsor an amount to cover the balance or the entire amount, as the case may be, of all applicable withholding taxes at the normal rates required by law prior to being awarded the Prize and failure to do so will result in disqualification. Winner will receive an IRS Form 1099-MISC reflecting the final actual value of his/her Prize. CONDITIONS: By entering this Contest, each entrant agrees that: [a] he/she will abide by and be bound by the Rules and the Sponsor’s decisions which are final and binding in all matters related to the Contest; [b] you grant to Sponsor: [i] a non-exclusive, sublicensable, irrevocable and royalty-free worldwide license under all copyrights, trademarks, patents, trade secrets, privacy and publicity rights and other intellectual property rights to use, reproduce, transmit, print, publish, publicly display, exhibit, distribute, redistribute, copy, index, comment on, modify, adapt, translate, create derivative works based upon, publicly perform, make available and otherwise exploit such Entry, in whole or in part, in all media formats and channels now known or hereafter devised (including on third-party sites and platforms such as Facebook, YouTube and Twitter), in any number of copies and without limit as to time, manner and frequency of use, without further notice to you, with or without attribution, and without the requirement of permission from or payment to you or any other person or entity and; [ii] if your Entry includes, uses and/or features Sponsor copyrighted works, Sponsor grants you a non-exclusive license to create the Entry using the Sponsor copyrighted works for the purposes of creating an Entry for this Contest only, provided that such license shall be conditioned upon your assignment to Sponsor of all rights into the Entry (if such rights are not assigned to Sponsor, your license to create the Entry using the Sponsor copyrighted works will be null and void); [c] the Entry will not be acknowledged or returned; [d] the Releasees are not responsible for claims, injuries, losses or damages of any kind resulting, in whole or in part, directly or indirectly, from the awarding, delivery, acceptance, use, misuse, possession, loss or misdirection of any Prize or participation in this Contest or in any activity related thereto; [e] the Releasees do not make any representation, warranty or guarantee, express or implied, relating to the Contest or any Prize(s); [f] Winner’s acceptance of a Prize constitutes the grant of an unconditional right to use Winner 's name, address (city and state only), voice and likeness (including without limitation, as it appears in the Entry), photograph, biographical and Prize information and statements about the Contest for any publicity, advertising and promotional purposes without additional compensation, except where prohibited by law; [g] in the event of unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism or other matters beyond the Sponsor’s reasonable control, corrupt, prevent or impair the administration, security, fairness or proper play of the Contest, so that it cannot be conducted as originally planned, except where prohibited by law, Sponsor has the right, in its sole discretion, to modify the Rules or to cancel, modify, terminate or suspend the Contest; and in such event, to select a Winner by such method as Sponsor in its sole discretion may consider equitable, and in the event that any portion of the Prizes have already commenced, to terminate the remaining portion of the Prizes and return the Winners (and their travel companions, if applicable) to any airport of origin as soon as reasonably possible; [h] the Releasees are not responsible for typographical or other errors in the offer or administration of this Contest, including but not limited to: human errors, errors in the advertising, Rules and selection and announcement of the Winners; [i] any portion of a Prize not accepted or used by the Winners will be forfeited; [j] the Releasees are not responsible for any inability of the Winners to accept or use a Prize (or any portion thereof) for any reason; [k] Sponsor has the right to modify Prize award procedures at its sole discretion; [l] all disputes, claims and causes of action at law or in equity arising out of or relating to this Contest, the meaning or interpretation of the Rules or any Prize awarded shall be resolved by applying the laws of the State of

California, without regard to conflict of laws provisions therein, and will be solely and exclusively brought in the state or federal courts within that state; and [m] all claims will be resolved individually, without resort to any form of class action. PRIVACY POLICY: Information provided by you for this Contest in your Entry, including, but not limited to, the Application Form and the Video, is subject to Sponsor’s privacy policy, located at http://corporate/disney.go.com/corporate/pp.html. By entering this Contest, you agree that the Sponsor has the right to contact you at the e-mail or phone number provided on your Application Form to administer and fulfill this Contest. IDEA SUBMISSION: In connection with any Entry you submit to Sponsor for the purposes of the Contest, you agree that creative ideas, suggestions or other materials you submit are not being made in confidence or trust and that no confidential or fiduciary relationship is intended or created between you and Sponsor in any way, and that you have no expectation of review, compensation or consideration of any type. WINNERS LIST: For a list of Winners after October 19, 2017, send a self-addressed, stamped envelope to MARVEL STUDIOS THOR: RAGNAROK SUPERPOWER OF STEM CHALLENGE, 500 S.
